1. Sponsor

The Material Indicators $100 Giveaway Sweepstakes (“Sweepstakes”) is sponsored by Material Indicators, LLC (“Sponsor”), located at 21353 SW 92ND AVE, CUTLER BAY, FL 33189.

This Sweepstakes is open internationally and is not sponsored, endorsed, administered by, or associated with any third party including but not limited to any social media platform, crypto exchange, or wallet provider.

2. No Purchase Necessary

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT WILL NOT INCREASE YOUR CHANCES OF WINNING.

3. Eligibility

This Sweepstakes is open to individuals who:

• Are at least 18 years of age (or the legal age of majority in their jurisdiction of residence, whichever is older);

• Reside in the United States, the European Union, the European Economic Area, South Korea, or any other jurisdiction where participation is lawful and not prohibited;

• Have a valid email address and agree to these Official Rules and the Sponsor’s Terms of Service.

Employees, officers, directors, agents, and representatives of Sponsor and its affiliates, subsidiaries, advertising, promotion, and fulfillment agencies, as well as their immediate family members and persons living in the same household, are not eligible to participate. Sweepstakes is void where prohibited or restricted by law.

Important Notes on Jurisdictional Restrictions:

• Participants are responsible for ensuring that participation does not violate the laws or regulations of their country of residence.

• Sponsor reserves the right to restrict entry from any country or jurisdiction where local laws make the Sweepstakes unlawful or impose excessive regulatory burdens.

4. Entry Period

A random drawing for $100 USDC (or equivalent stablecoin) will be held at least once (1) per calendar year. Sponsor may, at its sole discretion, hold additional drawings throughout the year. Entry periods and draw dates will be announced via Sponsor’s official communication channels.

5. How to Enter

Eligible participants may enter the Sweepstakes during the applicable entry period by:

• Completing the $100 Giveaway Opt-In Form with a valid email address.

• Agreeing to Sponsor’s Terms of Service and these Official Rules.

• Optionally completing surveys or other qualifying activities identified by Sponsor to receive additional entries.

Automated entries, AI agents, bots, or multiple responses to the same survey are strictly prohibited and will result in disqualification.

6. Alternative Method of Entry (AMOE)

To comply with “no purchase necessary” laws internationally, participants may also enter without completing a survey by sending an email to 21353 SW 92ND AVE, CUTLER BAY, FL 33189 with the subject line: “$100 Giveaway Entry.” The email must include:

• Full name

• Country of residence

• Valid email address

• Statement agreeing to these Official Rules and Sponsor’s Terms of Service

Each valid AMOE submission will receive one (1) entry.

7. Winner Selection

Winners will be selected in a random drawing conducted by Sponsor from among all eligible entries received during the applicable entry period.

• Odds of winning depend on the total number of eligible entries received.

• Random selection processes will comply with local laws and fair competition standards, including those under EU consumer protection regulations.

• If required by applicable law, Sponsor may use an independent third-party auditor or notary to oversee the draw.

8. Prize

The prize consists of $100 (USD) in USDC, USDT, or another equivalent stable coin selected by Sponsor (the “Prize”). Total Approximate Retail Value (ARV): $100 USD.

• Prizes are non-transferable, non-exchangeable, and non-refundable.

• No cash alternative will be provided except where required by law.

• Winners outside the U.S. are responsible for ensuring their ability to receive stablecoins legally under local law. If the prize cannot legally be transferred to a winner, Sponsor may substitute an equivalent prize at its sole discretion.

9. Winner Notification and Prize Claim

• Winners will be notified by email within seven (7) business days after the drawing.

• Winners must respond and provide a valid compatible digital wallet address within thirty (30) calendar days.

• Failure to respond or provide valid wallet information within the deadline will result in forfeiture of the prize.

• Sponsor is not responsible for incorrect wallet addresses, network errors, or blockchain transaction failures.

• EU and South Korean winners will receive additional instructions to ensure compliance with local crypto asset regulations where applicable.

10. Taxes and Regulatory Compliance

• Winners are solely responsible for any taxes, duties, exchange costs, or regulatory filings in their jurisdiction.

• For U.S. residents, Sponsor may issue IRS Form 1099 if required by law.

• Winners in the EU and South Korea are responsible for declaring winnings as income if required by local tax law.

11. Data Protection and Privacy (EU GDPR & International)

• Personal data collected from participants is processed in accordance with Sponsor’s Privacy Policy, the EU General Data Protection Regulation (GDPR), and other applicable international privacy laws.

• Data collected will be used solely for administering the Sweepstakes, contacting winners, and verifying eligibility.

• Participants in the EU and South Korea have the right to access, rectify, or erase their personal data, or withdraw consent at any time, by contacting [email protected].

• Personal data will not be sold or shared with third parties without consent.

12. General Conditions

• Sponsor reserves the right to suspend, modify, or terminate the Sweepstakes at any time if technical issues, fraud, regulatory restrictions, or other factors compromise its integrity.

• Sponsor’s decisions are final and binding in all matters relating to this Sweepstakes.

• Entries that violate these rules or are found to involve automated systems, bulk entries, or other manipulative tactics will be void.

13. Limitation of Liability

By participating, entrants agree to release and hold harmless Sponsor and its affiliates, employees, officers, and representatives from and against any claims, damages, or causes of action arising from:

• Participation in the Sweepstakes;

• Receipt, use, or misuse of any prize;

• Technical failures or errors beyond Sponsor’s control;

• Regulatory restrictions or wallet transaction errors.

For EU participants, this limitation of liability applies only to the maximum extent permitted under EU consumer protection law.

14. Governing Law and Jurisdiction

• For participants in the U.S., this Sweepstakes and these Official Rules are governed by the laws of the State of Florida.

• For participants in the EU, these rules are subject to mandatory consumer protection provisions of the participant’s country of residence.

• For participants in South Korea, the Act on Consumer Protection in Electronic Commerce and related consumer laws may apply.

• Any disputes shall be resolved in accordance with applicable local law or, where legally permissible, in the courts of Miami, Florida, USA.
